One way to be sure that everyone on the board is clear on his or her responsibilities is to adopt a "Board Member Agreement." The discussion the board has about what to put in its Agreement is valuable in and of itself, and below is a suggested sample as a starting point.

 

BOARD MEMBER AGREEMENT

 

I, _________understand that as a member of the USCF Board, I have a legal and moral responsibility to ensure that the organization does the best work possible in pursuit of its goals. I believe in the purpose and the mission of the organization, and I will act responsibly and prudently as its steward.

 

As part of my responsibilities as a board member:

 

1.         I understand board members represent the membership and I will convey the organization's work and values to the membership, well represent the entire organization, and act as a spokesperson.

 

2.         The USCF must be accessible and responsive to the membership thus I will solicit membership input and help make information about USCF mission, program activities, and finances available to its constituencies.

 

3.         I will exercise independent judgment as well as, be reasonably informed, participate in decisions, and do so in good faith and with the care comparable to my counterparts in for-profit corporations.

 

4.         I will put the organization's mission before any personal interest I may have thus I will put the best interests of the corporation first, above my own self interest or the special interest of others, and will never use information obtained as a board member for my own or others personal advantage.

 

5.         I will maintain proper confidentially regarding all appropriate legal, contractual negotiations, bid evaluations, membership, donor, and personnel matters.

 

6.         I will disclose all conflicts of interest and I will excuse myself from discussions, sponsorships, and votes where I have a potential conflict of interest.

 

7.         I will not deviate from my duty to fulfill the particular purposes for which the organization was created thus understand the USCF is a 501(c)(4) organization not organized for profit but operated exclusively for the promotion of social welfare, and the net earnings of which are devoted exclusively to charitable, educational, or recreational purposes.

 

8.         I will act in accordance with the organizations bylaws and with all applicable state and federal laws.

 

9.         All members of the board are subject to standards of conduct derived from nonprofit corporation law and I will help enforce the board's fiduciary obligations to the organization.

 

10.       I will also live by the general principles of USCF standards of conduct for board members at all times while I am a member of the board.

 

11.       I will attend at least 75% of board meetings, committee meetings, special events, and will attend the organizations annual meeting.

 

12.       I will make a personal financial contribution at a level that is meaningful to me.

 

13.       I will actively participate in one or more fundraising activities.

 

14.       I will stay informed about what's going on in the organization. I will ask questions and request information. I will participate in and take responsibility for making decisions on issues, policies and other board matters.

 

15.       I will inform others about the organization and suggest possible nominees to the board who can make significant contributions to the work of the board and the organization.

 

16.       I will work in good faith with staff and other board members as partners towards achievement of our goals. I will respond in a straightforward fashion to questions that are necessary to carry out my fiscal, legal and moral responsibilities to this organization.

 

17.       I will treat our members with respect and recognize that all people have their own right to personal dignity as well as due process.

 

18.       If I don't fulfill these commitments to the organization, I will expect other board members to call me and discuss my responsibilities with me.

 

19.       If I cannot properly fulfill my obligations to the organization I will resign as a member of the board.

Have the Board President sign two copies of this Agreement, and ask board members to sign them, return one copy to the Board President, and keep the other for organizational reference.
